Partner Program Policy

Applies to: all agencies, consultants, resellers, and other entities accepted into the phaneosAI partner program.
1. Program overview
The phaneosAI partner program lets approved partners earn commissions and collaborate on AI integration opportunities with clients. Two main participation models are available:

Net fees exclude taxes, refunds, chargebacks, payment-processing fees, and pass-through third-party costs.
2. Eligibility and enrollment
To become a partner, you must:
- submit accurate and complete registration information;
- have a legitimate business presence and relevant client relationships;
- agree to these terms and to our Terms of Service, Acceptable Use Policy, and AI Usage Policy;
- not be a competitor of phaneosAI, unless approved in writing.
phaneosAI reserves the right to accept or reject any application at its sole discretion.
3. Relationship protection and deal registration
3.1 Deal registration
- A lead must be formally registered through phaneosAI's partner portal or by email to partners@phaneos.cloud.
- Registration must include the prospect's company name, contact, and estimated opportunity value.
- phaneosAI will confirm or dispute registration within 10 business days.
3.2 Relationship protection
- Once a deal is registered and accepted, phaneosAI will not actively solicit that prospect through other channels for the same opportunity.
- Protection lasts for 90 days from registration, extendable if the partner demonstrates active, good-faith pursuit.
- A registered deal that becomes inactive for more than 60 days may be released.
3.3 Conflict resolution
- If two partners register the same prospect, the first complete, good-faith registration generally prevails.
- phaneosAI may allocate credit differently where the later partner had a pre-existing, documented relationship with the prospect.
4. Commission rules
4.1 Earning commissions
- Commissions are earned when phaneosAI receives payment from the referred or co-sold client.
- Commissions apply to the first 12 months of net fees unless a different period is agreed in writing.
- For co-selling partners, commissions may also apply to renewals or expansions if specified in the partner agreement.
4.2 Payment
- Commissions are paid monthly within 30 days after the end of the month in which phaneosAI receives payment.
- Partners must provide valid banking/payment details and any tax documentation required by law.
- phaneosAI may withhold payments pending dispute resolution or compliance verification.
4.3 Clawbacks
- Commissions paid on fees that are later refunded, charged back, or not collected are subject to clawback.
- phaneosAI may offset clawbacks against future commissions or invoice the partner if no future commissions are available.
- Fraudulent or self-referral transactions are void and may result in termination.
5. Partner conduct
Partners must:
- represent phaneosAI honestly and accurately;
- not make guarantees about AI outputs, results, or intellectual-property protection beyond what phaneosAI has approved;
- comply with all applicable laws, including anti-bribery, data protection, and consumer-protection laws;
- not engage in spam, misleading advertising, or unauthorized use of phaneosAI trademarks;
- keep client and phaneosAI confidential information secure.
6. Marketing and brand use
Partners may use phaneosAI's name and approved marks solely to promote the partnership and refer business. Partners may not:
- imply that they are phaneosAI employees or legal representatives;
- alter phaneosAI logos or brand materials without approval;
- use phaneosAI marks in a way that is misleading or disparaging.
All marketing materials mentioning phaneosAI must be approved if they go beyond pre-approved assets.
7. Confidentiality and non-solicitation
Partners may receive confidential information about phaneosAI, its pricing, and its clients. Partners agree to:
- keep such information confidential;
- not use it for any purpose other than performing partner activities;
- not solicit phaneosAI employees or contractors during the partnership and for 12 months after termination, except through general solicitations.
8. Termination
Either party may terminate the partner relationship with 30 days' written notice. phaneosAI may terminate immediately for cause, including breach of this policy, fraudulent activity, or conduct that harms phaneosAI's reputation.
Upon termination:
- all outstanding commissions on payments received before termination remain payable;
- deal protection for registered leads ends unless otherwise agreed;
- confidentiality and non-solicitation obligations survive.
9. Changes to the program
phaneosAI may change commission rates, program features, or eligibility criteria with at least 30 days' notice. Material adverse changes to existing partner agreements will be discussed individually.
